1. Acceptance of These Terms
By creating an account, purchasing or activating a subscription, creating a store, using a merchant dashboard, connecting an integration, or otherwise using RedPhinx Commerce, you agree to these Terms & Conditions and our Privacy Policy.
If you use RedPhinx on behalf of a business, organisation or other entity, you confirm that you have authority to bind that entity to these Terms.
2. RedPhinx Commerce Service
RedPhinx Commerce is a software-as-a-service platform that may provide merchants with tools such as hosted online storefronts, product and inventory management, order management, customer records, analytics, coupons, loyalty features, shipping rules, returns management, staff access, custom domains, email tools, WhatsApp integrations, AI-assisted content tools and payment integrations.
Features may vary by plan, location, technical availability, third-party provider availability and the current version of the platform. We may add, improve, replace or discontinue individual features when reasonably necessary to operate, secure or improve the service.
3. Accounts and Security
You are responsible for providing accurate registration information, maintaining the confidentiality of your login credentials and restricting access to your account. You are responsible for activity performed through your account or authorised staff accounts.
You must promptly notify RedPhinx if you believe an account, password, API credential, payment credential or connected service has been compromised.
You must not attempt to access another merchant's data, store, customers, integrations or account.
4. Merchant Responsibilities
Each merchant is responsible for the business conducted through their store. This includes the legality, accuracy, quality, pricing, description, availability and fulfilment of products or services offered to customers.
Merchants are responsible for, where applicable:
- maintaining accurate product, pricing, tax, stock and shipping information;
- fulfilling orders and communicating with customers;
- handling customer complaints, cancellations, returns and refunds;
- obtaining any registrations, licences, tax registrations or permissions required for their business;
- complying with applicable consumer protection, e-commerce, advertising, tax and privacy laws;
- ensuring products listed for sale are lawful and do not infringe third-party rights;
- maintaining their own terms, privacy policy, return policy and other customer-facing disclosures where legally required.
RedPhinx provides technology infrastructure. Unless expressly stated otherwise, RedPhinx is not the seller of a merchant's products and is not a party to the sale contract between a merchant and their customer.
5. Hosted Storefronts and Custom Domains
RedPhinx may provide merchants with a hosted store URL and, on eligible plans, custom-domain support. Merchants remain responsible for ownership, renewal, DNS configuration and lawful use of any custom domain.
Custom-domain activation may depend on DNS propagation, SSL provisioning, hosting configuration and other third-party infrastructure. RedPhinx cannot guarantee immediate activation or uninterrupted availability of third-party domain and DNS services.
6. Subscription Plans, Fees and Billing
RedPhinx may offer free and paid subscription plans. Paid plans may be billed monthly, yearly or using another billing interval displayed at checkout. Prices, included features and usage limits are shown before purchase.
Where recurring billing is enabled, you authorise the applicable payment provider to charge the subscription amount according to the selected billing cycle until cancelled or otherwise ended.
Plan upgrades, downgrades, cancellations, grace periods and feature access may be governed by the billing terms displayed in the dashboard or checkout flow. Unless required by law or explicitly stated otherwise, subscription fees already charged are non-refundable for partially used billing periods.
RedPhinx may suspend paid features where subscription payment fails, remains overdue or the account is otherwise not entitled to those features.
7. Merchant Store Payments
RedPhinx may allow merchants to connect their own payment gateway account, such as Razorpay or another supported provider. Store customer payments are processed through the merchant's connected payment provider and merchant account.
The merchant is responsible for payment gateway approval, KYC, settlement, chargebacks, disputes, refunds, gateway fees and compliance with the payment provider's terms.
RedPhinx does not guarantee that a payment provider will approve a merchant, maintain an integration, support a particular payment method or settle funds within any specific period.
8. Orders, Shipping, Returns and Refunds
RedPhinx may provide order, inventory, shipping, tracking, return and refund management tools. These tools support the merchant's workflow but do not transfer the merchant's legal obligations to RedPhinx.
Merchants are responsible for deciding whether to accept, fulfil, cancel, return or refund a customer order, subject to applicable law and the merchant's own customer policies.
Where RedPhinx provides refund or payment-operation tools, the merchant remains responsible for verifying the amount and reason before confirming a financial action. Third-party payment provider processing times may apply.
9. Third-Party Services and Integrations
RedPhinx may integrate with third-party services such as payment gateways, email providers, SMTP services, WhatsApp/Meta services, analytics tools, AI providers, domain providers or other platforms.
Your use of a third-party service is also governed by that provider's own terms and privacy practices. RedPhinx is not responsible for a third-party provider's outages, policy changes, API changes, account suspensions, pricing, data practices or service discontinuation.
Where merchants provide API keys, access tokens, SMTP credentials or similar credentials, merchants must have permission to use those credentials and are responsible for keeping them secure.
10. Merchant Content and Customer Data
You retain ownership of content that you lawfully upload to RedPhinx, such as product data, business logos, store images, descriptions and other merchant content.
You grant RedPhinx a limited licence to host, store, process, reproduce and display that content only as reasonably necessary to provide, secure, maintain and improve the service.
You must not upload content that is unlawful, misleading, defamatory, infringing, malicious or that violates another person's rights.
11. Acceptable Use
You must not use RedPhinx to:
- sell or promote illegal goods or services;
- infringe intellectual property, privacy or other legal rights;
- send unlawful spam or unsolicited marketing;
- upload malware, malicious scripts or harmful files;
- attempt to bypass plan restrictions, rate limits, security controls or authentication;
- probe, attack, reverse engineer or interfere with RedPhinx infrastructure except where permitted by law;
- misrepresent your identity, business, products or relationship with RedPhinx;
- use the platform for fraud, money laundering or other unlawful financial activity.
12. Service Availability and Changes
We aim to keep RedPhinx reliable and available, but we do not guarantee uninterrupted or error-free operation. Maintenance, software updates, hosting issues, third-party outages, internet failures, security incidents or circumstances beyond our reasonable control may temporarily affect the service.
We may perform maintenance, apply security measures, introduce limits or modify platform functionality where reasonably necessary.
13. Suspension and Termination
We may restrict or suspend access where reasonably necessary because of non-payment, suspected fraud, security risk, unlawful activity, abuse, repeated violation of these Terms or a legal/regulatory requirement.
Merchants may stop using the service and cancel eligible subscriptions in accordance with the available billing controls. Certain records may be retained after termination where required for security, accounting, dispute resolution, fraud prevention or legal compliance.
14. RedPhinx Intellectual Property
RedPhinx, its software, platform design, source code, interfaces, logos, trademarks, documentation and other proprietary materials are owned by or licensed to RedPhinx and are protected by applicable intellectual property law.
These Terms do not transfer ownership of RedPhinx intellectual property to you.
15. Disclaimers
RedPhinx is provided on an "as available" basis to the extent permitted by law. We do not guarantee that every feature will meet every merchant's business, regulatory, accounting, tax or legal requirements.
RedPhinx does not provide legal, tax, accounting, financial or regulatory advice. Merchants should obtain professional advice where necessary.
16. Limitation of Liability
To the maximum extent permitted by applicable law, RedPhinx will not be liable for indirect, incidental, special, consequential or punitive losses, including loss of profit, revenue, business opportunity, goodwill or data arising from the use or inability to use the service.
To the extent liability cannot lawfully be excluded, RedPhinx's aggregate liability relating to the service will not exceed the amount paid by the affected merchant to RedPhinx for the applicable service during the six months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
17. Indemnity
To the extent permitted by law, you agree to indemnify and hold RedPhinx harmless from third-party claims, losses, damages or expenses arising from your products, store content, customer dealings, misuse of the platform, violation of law or breach of these Terms.
18. Governing Law
These Terms are governed by the laws of India. Any dispute that cannot be resolved informally will be subject to the jurisdiction of a court of competent jurisdiction in India, unless applicable consumer law requires otherwise.
19. Changes to These Terms
We may update these Terms to reflect changes in the platform, applicable law, security requirements or business practices. The updated version will be published on redphinx.com with a revised effective date.
Continued use of RedPhinx after an updated version becomes effective means you accept the revised Terms, to the extent permitted by law.
20. Contact
Questions regarding these Terms may be submitted through the contact methods available on redphinx.com.
